Introduction

This Service Agreement (here referred to as the "Agreement") is made by and between Ample International Education Ramshahpath Putalisadak Kathmandu Nepal (here referred to as the "Client") and Paradise InfoTech of Thamel-26 Kathmandu Nepal (here referred to as the "Service Provider") who are each referred to as a "Party" and who collectively as the "Parties."

Therefore in consideration of the commitments and agreements made by both parties here the Client hereby engages the Service Provider to perform services in accordance with the conditions that the Parties have hereby agreed to:

THE SERVICE

The following is the list of commitments to be made by the service provider as Digital Management referred to as the "Service" moving forward.

While providing the Service the Service Provider shall to the best of their abilities comply with the Client's policies standards and regulations including local state and federal laws.

TERMS AND CONDITIONS ON SOCIAL MEDIA MANAGEMENT

1. Number of design/video count in a month.     
   As the technology is updating daily as per the needs. As per the current algorithm of Facebook we like to revise our service as below:
   1. Number of design count will be 12 designs a month (which means 3 designs a week)
   2. Festival designs will be unlimited and will be posted as per the Nepali calendar.
   3. Congratulations post will be unlimited as per the requested.
   4. 6 Video per month with edits.
   5. If you need more video in a month it is flexible with another month or with extra charges in same month.

1. Page management and Content tracking.     
   Manages all the pages and track the audience in the page. Manage the audience in the sponsor ads and manage the budgeting and scheduling.
2. Scheduling Posting and Content creation.     
   In order to make our work flow very systematic we would like to enlist the services as below:
   1. Our work flow moves on the cycle between content creator and designers hence all the designs which is ready to post will be posted at the end of the day or the next day in first hour.
   2. The design which is mentioned urgent will be posted immediately in such case it should be mentioned as [Urgent] which can be twice a month only.
   3. To manage the social media the designs will be posted in a day gap. Any post which like festival or congratulations post will be posted immediately.
3. Timing and office time.     
   Understanding your urgency and your valuable work we like to enlist the service as below:
   1. Our office time will be 9 am to 5 pm so any request on designs and revisions will be entertained between mentioned time. Failed to revise on the mentioned time it will be revised next day.
   2. The minimum time to design a post will be 20 mins to 1 hour depends on requirement. So any urgent designs will be done within the time framework after the completion of current work on board.
4. Holidays and Leave.     
   To extend our service we would like to provide the service enlisting the holidays as below:
   1. Our office remains closed on Saturday as weekend so any urgent designs should be informed on time on Friday else the design will be finalized on Sunday only.
   2. As our designers are of different religion any urgent designs request made on holiday will be entertained as per the designer’s continent time only.
   3. We will not stop giving service on any government holiday except Janai Purnima, Dashain, Tihar, Maghe Sakranti, Maha Shivaratri, and Holi. If it got revised will be informed prior.
5. Task assign and completion.     
   Our teams are always dedicated on completing their own task themselves but in case of any urgency we would like to deliver task as below:
   1. If the regular designer or team member are on holiday then the particular work will be handed over to another team member within office.
   2. Alternate team member will be in contact by WhatsApp to finalize the work.
6. Extra Designs.     
   Understanding your high requirement we would like to clarify our service as below:
   1. If your requirement reach more than 12 design in a month then others extra designs will be charged as NRs. 1000 per design and if you exceed 8 reels in a month extra will be counted next month or will cost NRs. 3000 per reels in case of individual reels creation. If we need to visit your office more than once a month for reels then visit charge of 2000 will be applicable
   2. As an extra design we can offer you the letter head design, visiting card, ID card, envelope will be included with the design.
   3. As we are managing social media any post under the social media will be designed but design which is needed to be printed like Banner, hoarding board, brochure, pamphlet etc will be entertained as extra charges depending upon the requirement.
   4. It’s your responsibility to provide the original logo to manage the brand if the logo needs to be designed or redesigned for high quality then it will be entertained as extra charge depending upon the requirement.

Payment Terms and Conditions

For the services rendered in accordance with this Agreement the Client consents to pay the Service Provider as an initial of the month. The payment is scheduled to pay monthly for taking the service.

The payment will be NRs. 22000/- per month.

If the client wishes to boost a particular post then the spent amount should be paid as per the exchange rate of the specific day.

If client needs VAT bill then 13% VAT will be payable.

Service Inspection

The client must inspect the service provider's completed work before receiving any compensation. The Client shall have the right to alert the Service Provider of any defective or incomplete Services done by the Service Provider according to this Agreement and the Service Provider shall quickly repair such work within a reasonable period of time.

Return of Goods

All property given by the Client including but not limited to cleaning supplies, clothing, equipment and any other goods shall be returned by the Service Provider upon the termination of this Agreement.

Timeliness

Service Provider acknowledges that all Services must be completed on time as mentioned on terms and conditions.

Confidentiality

The Service Provider understands and accepts that any financial and accounting records, lists of the Client's property including amounts paid, customer and client lists and any other information and data about the Client's business are secret ("Confidential Information"). Therefore, during the term of this Agreement or after its termination, Service Provider shall not, unless the client has previously given written approval, use or disclose any confidential information for the advantage of anyone other than the client, except disclosures required to be made to advance the business of the Client and information that is public record.

Safety

The Service Provider shall be solely responsible for protecting its employees, subcontractors, material suppliers and all other staff from the risk of death, injury or bodily harm resulting from or in any way related to the Services or the location where it is being performed (the "Work Site"). This responsibility shall be at the Service Provider's expense. In addition, the service provider consents to follow all guidelines established by federal law and government of Nepal. Any fines, fees or penalties imposed shall be the exclusive responsibility and liability of the Service Provider.

Rule of Law

The laws of the State of Government of Nepal shall govern this Agreement and be applied in its interpretation.

Severability

The parties acknowledge that if any part of this Contract is invalid, the remaining sections will still be fully enforceable.
